काठमाडौं । लामो समयदेखि धितोपत्रको प्रारम्भिक सार्वजनिक निष्कासन (आईपीओ) का लागि नेपाल धितोपत्र बोर्डको स्वीकृति कुरेर बसेका कम्पनीहरूको आईपीओ प्रक्रिया थप लम्बिन सक्ने देखिएको छ ।
गतवर्षको पुसदेखि बोर्डको अध्यक्ष पद रिक्त रहँदा आईपीओलगायत सार्वजनिक निष्कासन प्रक्रिया ठप्पजस्तै छ । बोर्डले पाइपलाइनमा रहेका कम्पनीहरूको आईपीओ गत आर्थिक वर्ष (आव) २०८०/८१ को लेखापरीक्षण रिपोर्टका आधारमा मात्र स्वीकृत गर्ने संकेत गरेको छ । सोही अनुसार भए स्वीकृति प्रक्रिया थप लम्बिनेछ ।
मंगलवार एक कार्यक्रममा बोल्दै बोर्डमा अस्थायी रूपमा अध्यक्षको जिम्मेवारी सम्हालिरहेका अर्थ मन्त्रालयका प्रतिनिधि महेश बरालले आव २०८०/८१ समाप्त भइसकेकाले सोही आवको वित्तीय विवरणका आधारमा आईपीओ स्वीकृति दिन लागिएको बताए ।
‘आईपीओ निष्कासनका लागि आवेदन दिएका कम्पनीको गत आवको वार्षिक लेखापरीक्षण प्रतिवेदन प्राप्त भएपछि आईपीओ स्वीकृतिको प्रक्रिया अघि बढ्छ,’ विश्व लगानीकर्ता सप्ताह, २०२४ को अवसरमा नेपाल उद्योग वाणिज्य संघ काठमाडौंले मंगलवार आयोजना गरेको एक कार्यक्रमलाई सम्बोधन गर्ने क्रममा बरालले भने । पुराना वित्तीय विवरणले कम्पनीहरूको पछिल्लो वास्तविक प्रतिशेयर नेटवर्थ नदेखाउने भएकाले पनि बोर्डले नयाँ वित्तीय विवरण माग गरिरहेको उनले बताए ।

- चुक्तापूँजीको १० प्रतिशत मात्र शेयर बेच्न पनि स्वीकृति नदिने अस्थायी अध्यक्षको स्पष्टोक्ति
- धितोपत्र बोर्डमा अध्यक्ष नहुँदा ९ महीनादेखि शेयरको सार्वजनिक निष्कासन लगभग ठप्प
हाल बोर्डमा आईपीओ निष्कासनका लागि ३५ कम्पनीले निवेदन दिएका छन् । विगत ९ महीनादेखि आईपीओ स्वीकृति प्रक्रिया लम्बिइरहेको सन्दर्भमा अधिकांश कम्पनीले आव २०७९/८० को वित्तीय विवरणका आधारमा स्वीकृति खोजेका छन् ।
बरालले सर्वसाधारणमा चुक्ता पूँजीको १० प्रतिशत मात्र शेयर निष्कासन गर्न अनुमति मागेका कम्पनीलाई बोर्डले अनुमति नदिने पनि स्पष्ट पारे ।
आफ्नो कार्यकालभर १० प्रतिशत मात्र सर्वसाधारणमा आईपीओ निष्कासन गर्न लागेका कम्पनीले अनुमति नपाउने बरालको अडान छ । कानूनमा १० देखि ५० प्रतिशतसम्म सर्वसाधारणमा शेयर निष्कासन गर्न पाउने व्यवस्था रहे पनि १० प्रतिशत मात्र निष्कासन गर्न खोज्ने कम्पनीलाई कुनै पनि हालतमा स्वीकृति नदिने उनले बताए ।
बोर्डले पछिल्लो समय असार १२ गते रिलायन्स स्पिनिङ मिल्स लिमिटेडलाई बुक बिल्डिङ विधिबाट शेयर निष्कासन गर्न अनुमति दिएको थियो । यस कम्पनीको शेयर मूल्य बढी भएको भन्ने चर्को विवादबीच तत्कालका लागि निष्कासन प्रक्रिया रोकिएको छ । रिलायन्स स्पिनिङ मिल्सले सर्वसाधारणका लागि प्रतिकित्ता ८२० रुपैयाँ ८० पैसाका दरले शेयर विक्री गर्न अनुमति पाएको छ ।
कम्पनीको शेयर योग्य संस्थागत लगानीकर्ताले प्रतिकित्ता ९१२ रुपैयाँमा खरीद गरेका छन् । रिलायन्सको शेयर विवादित बनेसँगै बोर्डले आईपीओ स्वीकृति दिन सकेको छैन । सार्वजनिक लेखासमितिले ९० रुपैयाँभन्दा कम प्रतिशेयर नेटवर्थ भएको कम्पनीलाई शेयर निष्कासनका लागि स्वीकृति नदिनसमेत बोर्डलाई निर्देशन दिएको थियो । हाल आईपीओ अनुमति कुरिरहेका धेरै कम्पनीको नेटवर्थ प्रतिशेयर ९० रुपैयाँभन्दा कम रहेको बोर्डका अधिकारीहरूले बताएका छन् ।
नेपाल धितोपत्र बोर्डमा गत पुस २० गतेदेखि अध्यक्ष पद रिक्त छ । बोर्ड अध्यक्ष नियुक्ति प्रक्रिया गत माघ ३ गते नै अघि बढे पनि ९ महीनामा पनि पूर्णता पाउन सकेको छैन । गत चैतमा धितोपत्र ऐन संशोधन भएपछिको नयाँ व्यवस्थाअनुसार अर्थ मन्त्रालयबाट बोर्ड सञ्चालक समितिमा प्रतिनिधित्व गर्ने सहसचिवले नै बोर्ड अध्यक्षको जिम्मेवारी पाएका छन् । बोर्डमा अध्यक्ष पद रिक्त भएसँगै अर्थ मन्त्रालयका प्रतिनिधि तीनपटक फेरिइसकेका छन् । साउन ३ गतेदेखि अर्थ मन्त्रालयका सहसचिव महेश बरालले बोर्ड सञ्चालक समितिमा मन्त्रालयको प्रतिनिधित्वसँगै अध्यक्षको समेत जिम्मेवारी पूरा गरिरहेका छन् ।
